Prohibited Uses in Relation to Third Party Content

Medal’s Platform enables Third Party Content to be embedded in User Generated Content subject to obligations, restrictions and limitations set out in our Terms of Service. Where Third Party Content belongs to Epidemic Sound AB this paragraph applies to such use (and in case of conflict takes priority over anything to the contrary in our Terms of Service). You may only use the Third Party Content as permitted by the Terms of Services for the purposes of creating User Generated Content. All rights relating to Third Party Content owned by Epidemic Sound AB which are not expressly granted by this paragraph or in our Terms of  Service are reserved to Epidemic Sound AB. In particular, you must not:

1. use any Third Party Content in: 

2. TV documentaries, TV shows or other broadcast-type content such as sports broadcasts; 

3. radio/podcast productions or audiobooks; 

4. vignettes/theme songs; 

5. corporate identification material (meaning sound-logos); or 

6. non-fungible tokens (NFTs), digital collectibles, or substantially equivalent or similar (including emerging) technologies;

2. use the Third Party Content in connection with any material or otherwise in a manner or context that is illegal or inciteful of an illegal act; racist; derogatory or discriminating against any person based on for example race, nationality, religion, ethnic identity, gender, gender identity or sexual orientation; that constitutes encouragement of violence or use of weapons; that constitutes disinformation; or that is pornographic. The User Generated Content must comply with any applicable laws and regulations. Moreover, you may not use the Third Party Content in connection with the promotion, advertisement or endorsement of any party, candidate or elected official; or “adult videos” and promotion of adult entertainment venues, escort services, or the like;

3. change or edit the Third Party Content or parts thereof, but you may speed up, slow down by +5/-5 BPM and/or cut them as required for inclusion in the User Generated Content; or

4. make available, or in any other way exploit the Third Party Content:

1. for the purpose of making the Third Party Content (in whole or in part) available on a stand-alone basis, hence without being synchronized with User Generated Content in accordance with the purposes of this Agreement, including, but not limited to, uses where complete or almost complete Third Party Content, on its own or as part of a compilation, are combined with accompanying visual/narrative elements that are of subordinate importance (such as still image(s), panning motions or other limited animation/video/audio) or where the production is otherwise tantamount to use of the Third Party Content on a standalone basis, and/or uses of any Third Party Content in User Generated Content for the purpose of creating a music listening experience;

2. in any way that is intended to allow third parties other than you to download and/or otherwise access or use the Third Party Content on a stand-alone basis, including without limitation in any digital templates or other applications enabling third parties to synchronize or otherwise combine the Third Party Content with other content, or in any manner enabling users to create or order on-demand products (such as electronic greeting cards or ringtones) or make the Third Party Content available in any physical products (e.g. in speakers); or

3. in any way to repackage the Third Party Content or upload/use them (in whole or in part) as for example audio samples, sound libraries, sound effects, music beds or upload them in any music recognition systems or any machine learning application for any purpose, include them as NFTs or other blockchain technologies, and/or in any way use, distribute or otherwise exploit the Third Party Content as your property.
